Brand Ambassador Terms and Conditions


1. Agreement Overview

By participating in the Milan Candles Brand Ambassador Program, you (the "Brand Ambassador") agree to abide by the terms and conditions outlined in this agreement.

The Brand Ambassador Program is a collaboration between you and Milan Candles, with the primary goal of promoting our brand, products, and mission in alignment with our values.


2. Program Participation

  • Participation in the Brand Ambassador Program is by invitation only.
  • By signing up, you agree to promote Milan Candles on your social media platforms and other channels as directed by the Company.
  • You will use the provided affiliate link and tracking codes to direct customers to the Milan Candles website for purchases.
  • Milan Candles reserves the right to deny or terminate participation at any time if an ambassador fails to adhere to these terms.

3. Commission and Rewards

  • Affiliate Sales Commission: You will earn a 15% commission on all sales made through your affiliate link, with a 30-day attribution window.
  • Monthly Reward: Each ambassador will receive one (1) free candle per month as a reward for their participation and to maintain their engagement in promoting Milan Candles.
  • Candles must be redeemed through the Collabs dashboard under the “Gifts” section of the ambassador’s account.
  • Unredeemed candles do not accumulate - if a candle is not redeemed within the designated month, it will expire, and a new gift will become available for the following month.
  • Eligibility for the monthly candle is contingent on fulfilling ambassador responsibilities, including posting a minimum of two (2) feed posts (one must be video content) and two (2) story posts per month. Failure to meet these requirements may result in forfeiture of the reward for that month.
  • Exclusive Discount: Each ambassador will receive an exclusive 15% discount off additional candles purchased for personal use only.
  • Payment Schedule: Payments will be automatically processed via the Shopify Collabs App 30 days after a sale to ensure there are no disputes or chargebacks.
  • Ambassadors are responsible for ensuring that their payment information is accurate and up to date.
  • Ambassador Tracking: Ambassadors will have access to real-time sales tracking through their Shopify Collabs dashboard. 
  • Return Policy Impact: Commissions will be deducted for any returned purchases within the 30-day window.

4. Ambassador Responsibilities

  • Social Media Posting: Ambassadors are required to create a minimum of two (2) feed posts and two (2) story posts per month on their personal social media channels, featuring Milan Candles and tagging @MilanCandles. One of the feed posts must be video content. 
  • Story Posts Requirements: Each story post must be visible for the full 24-hour duration and should include clear product visibility, proper tagging of @MilanCandles, and authentic engagement with the product. 
  • Engagement: Ambassadors are expected to engage with their followers regarding Milan Candles and respond to inquiries related to the products in a professional and respectful manner.
  • Brand Alignment: Ambassadors must maintain the integrity of Milan Candles’ brand values and aesthetic. All content must align with our brand's commitment to self-love, wellness, and the mission of ending sex trafficking. 
  • Content Creation: Ambassadors are encouraged to create their own unique content featuring Milan Candles, but they must also be in alignment with the brand’s values. The Company may provide certain assets (such as product images or promotional materials) that ambassadors are welcome to use, but not required.

5. Performance Reviews and Termination

Performance Reviews: 

  • Ambassadors will participate in a formal review process every six months. During these reviews, ambassadors will receive detailed feedback on content quality, engagement metrics, and sales performance. 
  • Both parties will discuss goals and expectations for the next period, and renewal decisions will be based on performance metrics and brand alignment.

Tracking Ambassador Performance

  • Affiliate Link Sales: Ambassadors will track sales through personalized affiliate links, which will be available in the ambassador dashboard. Sales attributed to these links will be recorded and accounted for.
  • Engagement Metrics: The Company will track social media engagement through tags, hashtags, and mentions. The focus will be on quality and consistency rather than sheer volume.
  • Metrics to monitor: likes, shares, comments, views (for video content), and overall engagement rate on posts.
  • Content Quality: Ambassadors will be evaluated based on how well their content aligns with Milan Candles' branding, mission, and visual standards.
  • This includes aesthetic quality, tone of message, and overall engagement with followers.

Termination: Milan Candles reserves the right to terminate an ambassador's partnership under the following conditions:

  • Failure to Meet Minimum Requirements: If an ambassador fails to meet the required post count or engagement expectations for two consecutive months, they may be placed on probation or removed from the program.
  • Brand Misalignment: Including but not limited to: creation of sexual content, promotion of adult content platforms, excessive alcohol consumption, harmful diet culture, content that makes light of trauma or mental health struggles, association with conflicting brands, controversial political statements, harmful or unsafe practices, discriminatory content, unprofessional behavior, or misrepresentation of qualifications.
  • Violation of Brand Guidelines: Sharing confidential information, misrepresenting products, or engaging in unethical promotional tactics.

6. Confidentiality and Non-Disclosure

Ambassadors must maintain confidentiality regarding any non-public business practices, upcoming product launches, or sensitive business information disclosed by Milan Candles, including but not limited to business plans, marketing strategies, sales data, and product development information. This obligation continues even after termination of the Agreement.


7. Brand Usage and Intellectual Property

  • Ambassadors may only use Milan Candles' brand assets, including logos, product images, and promotional materials, as provided by the Company.
  • The Brand Ambassador may not modify or alter any provided assets in a way that would distort the brand’s image or message.
  • The Ambassador does not hold any intellectual property rights to the Milan Candles brand, product designs, or other proprietary materials. The Brand Ambassador will not claim ownership or modify the Company’s intellectual property in any way.
  • The Ambassador retains ownership of any personal content they create but grants Milan Candles a perpetual, royalty-free license to use this content for promotional purposes.

8. Quality and Conduct

  • Content Quality: All posts, videos, and content must be of high quality and in alignment with Milan Candles' image as a brand focused on self-love, wellness, and healing. 
  • Respectful Behavior: Brand Ambassadors must maintain professionalism and respect for the community. Inappropriate content, harassment, or unethical conduct will lead to immediate termination.

9. Compliance with Laws

Ambassadors must comply with all relevant laws, including advertising guidelines and disclosure requirements related to affiliate marketing (FTC Guidelines). All promotional content must disclose that the Brand Ambassador may earn a commission for purchases made via their affiliate link.


10. Dispute Resolution

Both parties agree to attempt to resolve disputes amicably through direct communication. If a resolution cannot be reached, both parties agree to mediation before pursuing any further legal action. If mediation is unsuccessful, disputes will be resolved through binding arbitration in California.


11. Governing Law

This agreement will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.


12. Review and Renewal

This Agreement will be reviewed by both parties every six (6) months. Either party may request changes, but any amendments must be agreed upon in writing.


13. Amendments

Milan Candles reserves the right to update or amend these Terms and Conditions at any time. Any changes will be communicated to the Brand Ambassador via email, and continued participation in the program after the changes will constitute acceptance of the updated terms.
